3. Account Registration

To use our Services, you must create an account. You agree to:

• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

You must be at least 18 years old and have the authority to bind your organization to these Terms.

4. Subscription and Payment

Subscription Plans

Our Services are offered on a subscription basis. Your subscription includes a specified number of voice minutes, SMS messages, and features as described in your chosen plan.

Billing

Subscription fees are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all fees associated with your subscription.

Overages

If you exceed your plan limits, additional usage will be billed at our then-current overage rates. You will be notified when approaching your limits.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. No refunds are provided for partial months.

5. Acceptable Use

You agree not to use our Services to:

• Violate any applicable laws or regulations, including telemarketing laws (TCPA, TSR)
• Make calls to numbers on the National Do Not Call Registry without proper consent
• Engage in fraudulent, deceptive, or misleading practices
• Harass, threaten, or abuse any person
• Transmit spam, unsolicited communications, or chain letters
• Interfere with or disrupt our Services or servers
• Attempt to gain unauthorized access to our systems
• Use our Services to collect data for purposes other than your legitimate business use
• Resell or redistribute our Services without authorization

6. Compliance with Telemarketing Laws

You are solely responsible for ensuring your use of our Services complies with all applicable laws, including:

• Telephone Consumer Protection Act (TCPA)
• Telemarketing Sales Rule (TSR)
• State telemarketing and consumer protection laws
• Do Not Call regulations
• Call recording consent laws

You agree to obtain all necessary consents before making calls using our Services and to maintain records of such consents.

7. Intellectual Property

Our Services, including all software, algorithms, designs, and content, are owned by Agentix Technologies and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use our Services during your subscription.

You retain ownership of your data and content. By using our Services, you grant us a license to use your data solely to provide and improve our Services.

8. Data and Privacy

Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using our Services, you consent to our data practices as described in the Privacy Policy.

9. Service Availability

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTIX TECHNOLOGIES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your use or inability to use our Services
• Damages resulting from unauthorized access to your data

Our total liability shall not exceed the amount you paid for Services in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Agentix Technologies and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our Services, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

• Engage in fraudulent or illegal activity
• Fail to pay subscription fees

Upon termination, your right to use our Services will immediately cease. Provisions that by their nature should survive termination will remain in effect.
